This End User License Agreement ("Agreement") is between you ("User") and Daysha Lindale ("Licensor"), the creator of Sozawen ("Software"). By purchasing, downloading, installing, or using the Software, you agree to these terms.
Licensor grants you a non-exclusive, non-transferable, perpetual license to install and use the Software on one (1) computer for personal or commercial music production purposes. This license is yours forever — it does not expire, and all future updates are included at no additional cost.
You own everything you create with Sozawen. Your recordings, mixes, masters, and exports are yours — completely, unconditionally, forever. Licensor claims no rights to your music, your audio files, or your creative output.
The Software itself (code, interface, design, branding) remains the property of Licensor.
Sozawen processes all audio locally on your computer. No audio data is uploaded, transmitted, or stored on any external server. Your music never leaves your machine unless you choose to export and share it yourself.
AI-powered features (stem separation, lyric transcription, audio analysis, the Bandmate) run locally on your hardware. No audio is sent to external AI services. The quality and speed of AI features depend on your hardware capabilities.
The Software requires a one-time license activation via internet connection. After activation, the Software works offline. Your license is bound to one machine. To transfer to a new machine, contact support for deactivation of the previous installation.

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SOFTWARE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR DAMAGE TO EQUIPMENT. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.
This license is perpetual unless you violate these terms. If you violate these terms, the license terminates automatically. Upon termination, you must uninstall the Software and delete all copies.
This Agreement is governed by the laws of the State of South Carolina, United States. Any disputes shall be resolved in the courts of South Carolina.
You agree to defend, indemnify, and hold harmless Licensor from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Software in violation of this Agreement or applicable law.
You shall not circumvent, disable, or tamper with any license enforcement mechanisms, activation systems, or access controls built into the Software.
If any provision of this Agreement is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions continue in full force.
Licensor shall not be liable for delays or failures in performance resulting from causes beyond reasonable control, including natural disasters, acts of government, telecommunications failures, or third-party service outages.
This Agreement does not create a partnership, joint venture, agency, or employment relationship between you and Licensor.
Licensor may update this Agreement with future versions of the Software. Continued use of the Software after changes constitutes acceptance. You will never be required to pay additional fees for updates or changes to this Agreement.
